CUSTOM ACCESSORIES AND PRODUCTS TERMS AND CONDITIONS

A. REQUEST FOR PRICE QUOTE

We offer a REQUEST A QUOTE Price Form designed to help you define and describe your custom accessories project. Please enter all necessary details: your contact information, company name, website name, requested quantities, size, required delivery due date. If you have your virtual design or artwork ready and logo available, we invite you to upload your files. This will help us determine and suggest the best custom design options. Also, a message board allows you to enter specific requests and comments regarding your custom accessories order.

B. PRICE QUOTE

Based on the details and requirements you provide in your request, we will send you a detailed price quote. With price quote, we will describe your future custom accessories and, if necessary or requested, we suggest different options for your project. All our price quotes contain terms and conditions related to your custom accessories request and also invite customers to read the present CUSTOM ACCESSORIES TERMS and CONDITIONS, applicable for all price quotes sent by our company and orders placed by distributors.

C. CUSTOM ORDERS

When you decide to place a custom order with us for samples or custom designed accessories, we will send you a PROPOSAL QUOTE or Invoice-Agreement for the deposit, generally requesting 80% of the total amount of the project and 100% for custom designed samples. All payments to our company can be made by credit card, company check, or wire transfer. Please request about our payment information if you want to pay your deposit by check or wire transfer. Please note, that paid deposits are non-refundable. By paying your deposit, you or your company make a legally binding contract with us. All our sent proposals, quotes, invoices, agreements and receipts, related to your order, clearly refer to the present applicable CUSTOM ACCESSORIES TERMS and CONDITIONS. By ordering from us and paying the deposit, customers understand and accept these terms and conditions for their entire custom order agreement.

D. ARTWORK & DESIGN

When artwork and graphic design are provided by customers, they remain strictly their intellectual property. Our company will never share your artwork or graphic design. If you would like us to sign a Non-Disclosure Agreement, please send us your agreement for review or request our general one. Please note, our company cannot be held responsible if the artwork you provide contains visual or any other digital defects. When customers provide an artwork or graphic design, we assume they own the full rights of use to reproduce this artwork or graphic design on custom made accessories. Our company cannot be held responsible for any customer's copyright infringements.

If artwork or graphic design are created for you by our company free of charge, whether based or non-based on your logo, colors, brand, graphic design and elements, before being at our own discretion, or after you place your custom order with us, they remain strictly our property, according to the terms of the Copyright Law of the United States of America. If you decide to contract with another vendor, please note that the artwork and graphic design we created for your company, free of charge, cannot be used by you and any other Parties.

If you decide to confirm your order with us or to put on hold or drop your project after having received our free artwork and graphic design, our company grants itself the right to use them for its own online design presentation and promotion. This graphic design will be displayed as "graphic designed for" artwork or featured with your logo. Please note that by free of charge designs, we mean 1) designs based on your logo and graphics elements and 2) requiring a reasonable time to create 2 - 3 free graphic design hours. If requested more complicated custom design or hand painted art, artwork requires more time, a graphic design or hand painted artwork on canvas, or digital artwork fee may apply and will be discussed up front with your company representative. If client refuses this additional artwork fee, our company might decide to cancel the customer's order. According to section C. CUSTOM ORDERS of these CUSTOM ACCESSORIES TERMS and CONDITIONS, the deposit will not be refunded to the customer.

If hand sketched artwork and digital graphic design are created by our company and a graphic design fee applies, we do accept the transfer of copyright/design ownership if and only if your order for production series is placed with us.

E. CUSTOM ACCESSORIES PRODUCTION

Our custom accessories are produced in the USA or overseas, depending on quantities, request, budget and timeline. By default, unless otherwise specified, all quotes we send to distributors, clients are for "Made in China" products. When an order is placed and artful digital designs, hand painted artwork, or digital artwork fully approved by both customer, distributor and our company, the sampling process production series are started. Please note the following points regarding custom accessories production:

Custom Accessories Quality is so important for us. All our custom designed and printed accessories are inspected during all phases of the manufacturing process. Those pieces that do not pass our strict quality control are neither delivered complimentary to our customers or sorted and not delivered.

Custom Accessories Actual Samples can be requested by customer or distributors to check the size, quality, color of custom accessories, especially for large orders. Custom accessories samples are charged to customer and their cost is fully deducted from the order price for orders over 100 pieces of the same design. Please note that 1) If your company/ distributor would like us to design your samples before confirming your full order, a non-refundable fee will be charged along with the cost of your samples and 2) your company/ distributor might find slight color variations between the samples you receive and the final products of your full order, due to fabric digital print, colors and hand craftsmanship. The client/ distributor is fully accepts these terms.

Custom Accessories Size. Our Custom Designed Accessories are handmade and final dimensions may vary or slightly from the original graphic design size, hand painted artwork or digital graphic design due to hand stitching or hand roll hem.

Custom Accessories Colors Digitally Printed. Because our total commitment to do our best, when your products are digitally printed 1) Back side of your custom printed scarves and fabric can be a little bit lighter than the front side of scarf or fabric because of penetration limitation of the ink through fiber, threads and fabrics; 2) In result of colors may be slightly different if compared to the original digital art, graphic designs. Also, if you order custom accessories created of different fibers, a color difference may appear on final products, because of the different type of fabric and fibers reflected in the different shade of color. If possible, we will send photos to the customer/ distributor for the final approval of the Pre-Production Sample before the full production. Distributors/ clients are fully accept these terms after the order is placed with our company for digitally printed custom accessories.

Colors: When we digitally print or screen print: Screen printing is the best way to obtain a great color rendering. It is based on the Pantone™ color PMS™ Coated numbers you provide or we define for the main colors of the artwork. This production method is always recommended when the designs / artwork have a limited number of colors and do not contain any color gradients. However, minimum order quantities are more important than digital printing. Please be advised that, even with digital or screen printing method, some colors can appear slightly different compared to the original PMS™ colors, depending on the fabric you ordered for. Ink penetration might also be different, depending on the fabric type and colors.

Changes. After approved artwork, virtual design has been submitted and moulds, screens, weaving cards have been prepared, any cancellations or design changes will result in the billing of any costs incurred.

Under-Runs or Over-Runs: sometimes in some cases, because our products are mainly handmade, the final quantity of manufactured accessories and custom products can vary from the originally ordered quantity. Approximately 3%-4% of over or under-runs). We will adjust the final invoice accordingly.

Delivery Due Date: Delivery time, including production and shipping time in weeks are stated in our quote. Regarding the shipping time, our company cannot be responsible for delays due to customs inspections longer than usual or any other events due to carrier. Also, we will not be liable for any loss, damage or delay coming out of our failure and our subcontractors due to causes beyond its reasonable control, including without limitation, acts of God, acts or omissions of Buyer, acts of civil or military authority, floods, fires, strikes, epidemics, quarantine restrictions, war, riots, acts of terrorism and transportation embargoes. In the event of such delay, our delivery date will be extended for measured length of time.

Custom Products Updates: We will send you images of your custom designed accessories or products before or after the full production and will update you about the manufacturing progress and the estimated delivery time.

Set-Up Tools. All weaving cards, moulds, screens, artwork, manufacturing tools remain the property of the factory without exception.

F. SHIPPING

All our custom designed accessories and products are shipped from our USA based office in Buffalo Grove, Illinois, after final invoice is paid in full, unless otherwise specified in our custom quote and proposal.

Our company representative will contact you before delivery and shipping your ready custom order to advise and ask the way you want us to ship your custom products. After your custom order and products are shipped, we will send you a valid tracking number and the estimated date of delivery by the shipping company. Our company cannot be held responsible in case of delay from the carrier your company or our company selected in case of loss or damaging. Please also note that we do not ship to P.O. boxes and Military APO addresses.

For international orders outside the U.S.A.:

Our prices do not include non U.S. local taxes, customs duties or VAT. Before ordering, please be advised and contact your local tax and customs authorities for more information on exact applicable duties and taxes.

G. RETURNS

Our company guaranteeing the custom accessories and products you receive are in exact quality and conditions with 1. their specifications, description and the terms stated in our quote, 2. digital graphic designs, virtual artwork you approved before your custom accessories and products went to production, 3. our pre-production and post-order communication and 4. the currents Terms & Conditions. We inspect each piece of custom product carefully. We pack all products with care in accordance with our quality control. At the time you receive your custom designed accessories, if you notice any damage, defects within 3 days after the effective delivery date, please contact us immediately. We will do our best to resolve the issue. Please contact us first before returning your products to request RMA form. Without approved and signed RMA form your order can not be returned. We will NOT accept your return, if you will not contact us withing 3 days regarding the issue with your order, of the actual delivery date. After 3 days of delivery date, your order can not be returned.

H. CUSTOM DESIGNED PRODUCTS IMAGES AND PHOTOS FOR REFERENCE

After your custom designed products placed order with our company for a custom design, manufacturing, production or service, and after order is delivered and our service is rendered, you implicitly give permission to AC Distributors, Inc. DBA Alesia C. to use the custom designed products, accessories, logo and artwork done for your company, your customer, clients as a reference, in this website  Art4Brand.com and on any other custom products website fully owned by our company.

I. DISPUTES

In case of dispute about an custom accessories and products order, both parties will attempt in good faith promptly to resolve it by negotiations between AC Distributors, Inc. DBA Alesia C. with Art4Brand.com and Customer representatives who have authority to settle the dispute. If unsuccessful, both parties then will attempt in good faith to settle the dispute by non-binding third-party mediation, with mediator fees and expenses shared equally between AC Distributors, Inc. DBA Alesia C. with Art4Brand.com and Customer. Any dispute not resolved by negotiation then may be submitted to a court of competent jurisdiction in accordance with these terms and conditions. Both parties agree that this is the exclusive procedure for the resolution of all disputes. The agreement comprised of the terms and conditions contained in this section and all disputes arising under it will be governed by and interpreted in accordance with the laws and will be subject to the exclusive jurisdiction of the Court of Cook County, State of Illinois or a Federal Court if applicable.
